  2. DISTRIBUTORSHIP AGREEMENT

  4. __________________________, referred to as MANUFACTURER, and
  5. ___________________________, referred to as DISTRIBUTOR,
  6. agree:

  8. MANUFACTURER produces products in the following areas:

  12. DISTRIBUTOR shall purchase an initial inventory from MANUFACTURER
  13. as described in the attached Exhibit "A."

  15. The initial inventory shall be paid for on the following terms:

  21. The DISTRIBUTOR shall have the non-exclusive right to sell the
  22. products of MANUFACTURER in the following geographic area:

  30. Service within any warranty provided by MANUFACTURER shall be

  32. all customers requiring service to MANUFACTURER.

  35. The DISTRIBUTOR shall either user advertising materials prepared
  36. by the MANUFACTURER or shall submit the same for prior approval to
  37. the MANUFACTURER.

  39. DISTRIBUTOR shall take all reasonable steps to protect the
  40. trademarks and other intellectual property rights of the
  41. MANUFACTURER.

  45. The initial term of this distributorship shall be ______________.
